ADF Terms of Service: Legal agreement for IT services, software licensing, consulting, and website usage terms.
These Terms of Service constitute a legally binding agreement between ADF Partitions & Ceilings Ltd ("Company") and you ("Client"), governing your use of our website and engagement with our services.
By accessing our website, submitting a contact form, requesting a quote, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, discontinue use immediately.
You agree to use our Website and Services only for lawful purposes and NOT to:

Payment Terms: Standard Net 30. Large engagements may require upfront payment. Late payments accrue 2% monthly interest.
Cancellation and Refunds:
- Services once incurred: non-refundable
- Subscriptions: cancellable with 30 days' notice (prepaid non-refundable)
- Software licences: generally non-refundable once activated per vendor terms
Under UK GDPR/EU GDPR, we process personal data based on:
- Contractual Necessity: Required to provide services
- Legal Obligation: Required by law
- Legitimate Interests: Business interests balanced against your rights
- Consent: Where you've explicitly consented
Website Content: Owned by ADF or licensed. Limited license to view/print for personal use. No reproduction/modification/distribution without permission.
Custom Deliverables: Ownership per payment, formal agreement, IP specifications. Pre-existing ADF tools remain ADF property.
Your Content: You retain ownership. Providing it grants ADF license to use for service performance.
ADF keeps Confidential Information:
- Secure
- Not disclosed without permission
- Used only for performing Services
Confidentiality doesn't apply to already public information or authorised disclosure.
See our Privacy Policy for personal data handling. ADF implements reasonable security measures but cannot guarantee absolute protection. You use Services at your own risk.
Breach notification: ADF notifies affected individuals/authorities within 72 hours.
ADF Warranties:
- Authority to provide Services
- Professional performance
- Law compliance
- No third-party IP infringement
- Deliverables substantially as specified
Disclaimers: Services/Website provided "AS IS" without warranties of merchantability, fitness, non-infringement, error-free operation.
Client Warranties: Authority, accurate information, own/permission for Client Data, lawful use.
ADF NOT liable for:
- Lost profits, data, business interruption
- Consequential damages
Client indemnifies ADF from claims arising from:
- Client Data
- Client's Terms violation
- Unauthorised use
ADF indemnifies Client from claims that deliverables infringe IP rights.
Website Terms: Effective indefinitely unless terminated.
Service Engagements: Per specific service agreement.
ADF may terminate for:
- Material breach (not cured in 15 days)
- Non-payment (30 days notice)
- Convenience (30 days notice)
Client may terminate for ADF material breach (not cured in 30 days).
Upon termination: Services cease, fees owed remain due, confidentiality/indemnification survive.
Licences provided "as-is" per vendor terms. Activation generally non-refundable. Client must comply with EULAs. Illegal/unlicensed use prohibited.

- Severability: Invalid provisions severed
- Assignment: Client cannot assign without consent
